For reporting companies looking to publish their 10-K this year, they should be aware that the U.S. Securities and Exchange Commission (“SEC”) is rolling out a significant update to its Electronic Data Gathering, Analysis, and Retrieval (“EDGAR”) system. The transition to EDGAR Next begins March 24, 2025, bringing changes to filer access and account management.
I. Key Dates and Deadlines
- March 24, 2025 – The new EDGAR Filer Management website goes live, and enrollment begins.
- September 12, 2025 – Deadline for filers to enroll to avoid disruptions in filing.
- December 19, 2025 – Final date for enrollment in EDGAR Next.
- September 15, 2025 – Compliance with EDGAR Next is mandatory.
During the transition period, filers may continue submitting documents via the existing EDGAR Filing and Online Forms websites without any changes until September 12, 2025.
II. New Requirements for EDGAR Next Enrollment
To access the EDGAR Filer Management dashboard, filers must have:
- Login.gov individual account credentials and multifactor authentication.
- A valid EDGAR passphrase and CIK Confirmation Code (CCC).
Entities and individuals seeking access to file on EDGAR after March 24, 2025, must complete the improved Form ID application on the new EDGAR Filer Management website.
